Welcome to ConnectedU ("Platform"), owned and operated by INRAY LABS PRIVATE LIMITED ("Company", "we", "us", or "our"), a company incorporated under the Companies Act, 2013 with CIN: U62099KL2026PTC104994.

These Terms & Conditions ("Terms") govern your access to and use of our website https://connectedu.in, the ConnectedU web application, and the ConnectedU mobile app (collectively, the "Platform").

By accessing or using the Platform, registering an account, or subscribing to our services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

ConnectedU is a comprehensive cloud-based SaaS school management and parent communication platform developed by INRAY LABS PRIVATE LIMITED. The Platform enables educational institutions, administrators, teachers, parents, and students to seamlessly coordinate school operations, attendance, academic records, digital fee collection, and real-time transport tracking.

Eligibility

By using the Platform, you confirm that:

• You are at least 18 years old; or
• If you are below 18, your parent, school administrator, or legal guardian has provided consent to use the Platform; and
• You have the full legal authority to enter into these Terms on behalf of yourself or the educational institution you represent.

Account Registration & Security

• Access to administrative and school portals requires official institutional onboarding and registration.
• You must provide accurate, complete, and current information during registration and keep it updated.
• You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• Accounts that violate these Terms or compromise platform security may be suspended or terminated immediately.

Services and Access

ConnectedU provides schools and educational institutions with digital software tools for managing student records, attendance, parent communication, grading, bus tracking, and digital fee management.

We strive for high uptime (99.9%) and continuous service improvement, and may periodically roll out feature enhancements, maintenance updates, or modifications.

Subscription, Billing & Payments

• Access to ConnectedU modules and services is provided on a SaaS subscription or licensing basis (annual/monthly plans).
• Payments are processed securely via RBI-authorized payment gateways including Cashfree Payments and other approved partners.
• All pricing and subscription fees are in Indian Rupees (INR) and are subject to applicable Goods and Services Tax (GST).
• Detailed payment terms, billing cycles, renewals, and cancellation terms are outlined in your Institution Agreement and our Cancellation & Refund Policy.

Intellectual Property Rights

• All software code, applications, design, interface elements, trademarks, logos, algorithms, and documentation associated with ConnectedU are the exclusive intellectual property of INRAY LABS PRIVATE LIMITED.
• Subscribing institutions and authorized users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during the active subscription period.
• Copying, modifying, reverse-engineering, decompiling, or redistributing any part of the Platform is strictly prohibited.

User Responsibilities & Acceptable Use

You agree not to:

• Use the Platform for any unlawful, unauthorized, or fraudulent purposes;
• Upload or distribute content that is malicious, infringing, defamatory, or harmful;
• Attempt unauthorized access to our servers, networks, databases, or third-party integrations;
• Use automated scrapers, data-mining tools, or bots on the Platform;
• Violate any applicable national or international laws or data protection regulations.

Data Ownership & Protection

• All institutional and student records uploaded by participating schools remain the exclusive property of the respective educational institution.
• INRAY LABS PRIVATE LIMITED acts as a data processor, processing institutional data strictly to fulfill the software services requested.
• We adhere to the Digital Personal Data Protection Act, 2023 (DPDPA) and the Information Technology Act, 2000.

Third-Party Services & Integrations

The Platform integrates with verified third-party services including payment gateways (e.g. Cashfree), telecom SMS/WhatsApp delivery gateways, and cloud hosting infrastructure.

While INRAY LABS PRIVATE LIMITED implements industry-standard integrations, third-party services operate subject to their respective terms and service level agreements.

Limitation of Liability

• To the fullest extent permitted by applicable law, INRAY LABS PRIVATE LIMITED, its directors, officers, and employees shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, data, or business goodwill).
• The aggregate liability of INRAY LABS PRIVATE LIMITED for any claims arising out of or related to these Terms or the Platform shall not exceed the amount paid by the customer to INRAY LABS PRIVATE LIMITED for the service in question in the twelve (12) months preceding the incident.

Disclaimer of Warranties

The Platform and its services are provided on an "as is" and "as available" basis. INRAY LABS PRIVATE LIMITED makes no warranties, express or implied, regarding merchantability, fitness for a particular purpose, or uninterrupted, error-free operation.

Termination & Suspension

• INRAY LABS PRIVATE LIMITED may suspend or terminate access to the Platform upon material breach of these Terms, non-payment of subscription dues, or unlawful activity.
• Upon termination, your right to use the Platform ceases immediately. Data export and transition assistance will be provided as outlined in the Institutional Service Agreement.
• Provisions regarding Intellectual Property, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

Indemnification

You agree to defend, indemnify, and hold harmless INRAY LABS PRIVATE LIMITED, its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising from your violation of these Terms or misuse of the Platform.

Governing Law and Jurisdiction

• These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of India.
• The competent courts situated in Alappuzha / Ernakulam, Kerala, India shall have exclusive jurisdiction over all matters arising out of or relating to these Terms.
